SpeakEasy AI: Learn English Terms of Service

Effective Date: May 26, 2025

By downloading, installing, registering, logging in to, or using the "SpeakEasy AI: Learn English" mobile application (hereinafter referred to as the "App"), you (hereinafter referred to as "User") acknowledge that you have fully read, understood, and agreed to be bound by these Terms of Service (hereinafter referred to as "these Terms"). If you are under 16 years of age, you must read these Terms with your legal guardian and obtain their explicit consent before using the App.

SPEAKEASY AI END-USER LICENSE AGREEMENT

These terms and conditions legally create an agreement between you, as the User, and SpeakEasy. Please read all terms and conditions and further SpeakEasy Service scope carefully. By using ,you agree with our terms as set out under this Terms and Conditions, including the SpeakEasy End-User License Agreement and Privacy Policy. If you do not agree to the Terms and Conditions (including the SpeakEasy End-User License Agreement and Privacy Policy) do not use SpeakEasy. Your continued use will confirm your acceptance of the Terms and Conditions.

LICENSED APPLICATION END USER LICENSE AGREEMENT

1. Scope of Services and Core Functions

1.1 Service Description

The App is exclusively distributed on the Apple App Store and available in all regions except Mainland China. It provides English learning services, including but not limited to:

  • AI-powered English interaction: Real-time dialogue practice, grammar guidance, and pronunciation feedback based on artificial intelligence technology;
  • Flashcard-based vocabulary learning: Features such as review progress tracking, mistake marking, and personalized review plan generation (adjusted automatically based on your learning data);
  • Account management: Supports three login methods—Google Login, Apple Login, and Email Login (no other third-party login options are available);
  • Paid subscription services: Offers "weekly subscription" and "annual subscription" plans for premium features (e.g., exclusive AI courses, expanded vocabulary libraries).

The App is only available on the Apple App Store and will not be distributed on other platforms (e.g., Google Play Store).

1.2 Service Limitations

  • The App requires a compatible iOS device and stable internet connection. Some features (e.g., AI interaction) may not function properly without an internet connection;
  • We reserve the right to adjust service content (e.g., add/remove learning modules) or update the App to adapt to iOS system upgrades. You must download updates to continue using the App;
  • We do not guarantee that the App will be compatible with all iOS versions or device models, but we will make reasonable efforts to support mainstream iOS versions (iOS 14.0 and above).

2. Account Management

2.1 Account Registration & Login

  • Email Login: You must provide a valid email address for registration/verification and set an encrypted password. We do not collect phone numbers or other personal contact information;
  • Third-Party Login (Google/Apple): When using Google Login or Apple Login, you authorize the third party (Google/Apple) to share your basic account information (e.g., user ID, avatar, email address) with us. The scope of shared data is subject to the third party's authorization policies (e.g., Apple's private email feature may mask your actual email address);
  • You warrant that the information provided during registration is true, accurate, and complete. If the information is false or outdated, we reserve the right to suspend or terminate your account.

2.2 Account Security

  • You are solely responsible for safeguarding your account credentials (e.g., password, third-party login authorization). Do not share your account with others or allow unauthorized access to your device;
  • If you detect abnormal account activity (e.g., unrecognized login, unauthorized subscription purchases), you must notify us immediately via the contact email (see Chapter 11). We will assist in verifying your identity and freezing your account if necessary;
  • We are not liable for account losses or data breaches caused by your failure to protect account security (e.g., password leakage, device theft).

3. Paid Subscription Services

3.1 Subscription Plans & Pricing

Available Plans:

  • Weekly Subscription: Automatically renews every 7 days after the initial purchase;
  • Annual Subscription: Automatically renews every 12 months after the initial purchase.

Pricing: Subscription fees are displayed in the App's "Subscription" section and are subject to regional currency and Apple App Store pricing policies. We will notify you of any price adjustments via in-app pop-ups or your registered email at least 7 days in advance.

3.2 Payment & Auto-Renewal

  • All payments are processed through Apple's in-app payment system. We do not collect or store your payment details (e.g., credit card numbers);
  • Auto-Renewal Rule: Your subscription will automatically renew 24 hours before the current term expires. Apple will charge the renewal fee to your linked payment method (e.g., Apple ID balance, credit card);
  • Cancellation of Auto-Renewal: You can cancel auto-renewal at any time by following these steps:
    • Open "Settings" on your iOS device → Tap your "Apple ID" → Select "Subscriptions";
    • Find "SpeakEasy AI: Learn English" → Tap "Cancel Subscription".
    Cancellation takes effect immediately, but you can continue using the premium features until the end of the current subscription term.

3.3 Refund Policy

Eligible Refund Scenarios:

  • Technical failures of the App prevent you from using premium features for more than 72 hours, and we cannot provide an alternative solution;
  • "Accidental payment" or "duplicate payment" confirmed by Apple (subject to Apple's refund review results).

Refund Requests: All refunds must be submitted through Apple's official channels (e.g., "Report a Problem" in the App Store). We do not process refunds directly but will cooperate with Apple to verify your subscription status and service usage.

Non-Eligible Scenarios: No refunds will be provided for "change of mind" after purchase, or if you fail to use the premium features due to your device issues (e.g., outdated iOS version) or internet problems.

4. User Obligations & Prohibited Conduct

4.1 User Obligations

  • Use the App in compliance with applicable laws, regulations, and public morals in your region;
  • Keep your iOS device and the App updated to the latest version to avoid security vulnerabilities;
  • Provide accurate information when contacting us for support (e.g., account name, registered email) to ensure efficient problem resolution.

4.2 Prohibited Conduct

You shall not engage in any of the following activities when using the App:

  • Modifying, decompiling, reverse-engineering, or cracking the App's source code, or creating derivative works based on the App;
  • Using automated tools (e.g., bots) to crawl learning resources, manipulate review data, or disrupt the App's normal operation;
  • Uploading, transmitting, or storing illegal, offensive, or infringing content (e.g., hate speech, copyrighted materials without permission) in the App;
  • Using the App's AI features to generate false information, defamatory content, or content that violates third-party rights (e.g., intellectual property, privacy);
  • Reselling, renting, or sharing your subscription rights with others (each subscription is for personal, non-commercial use only).

5. Our Rights & Obligations

5.1 Our Rights

  • Suspend or terminate your account if you violate these Terms (e.g., prohibited conduct, fraudulent subscription);
  • Adjust or discontinue non-essential features (e.g., a specific learning module) with prior notice (via in-app pop-up or email) at least 7 days in advance;
  • Temporarily suspend services for server maintenance (we will notify you 24 hours in advance, except for emergency maintenance).

5.2 Our Obligations

  • Provide stable services in accordance with these Terms and resolve technical issues (e.g., App crashes, login failures) within 15 working days of receiving your feedback;
  • Protect your personal data (e.g., account information, learning records) in accordance with our Privacy Policy (linked in the App's "Settings");
  • Not sell, rent, or disclose your personal data to third parties unless required by law or with your explicit consent.

6. Intellectual Property Rights

  • All intellectual property rights in the App (including but not limited to software copyrights, UI design, AI algorithms, official vocabulary libraries, and course scripts) belong to us. You may not copy, distribute, or commercialize any part of the App without our written permission;
  • You retain ownership of the user-generated content you create in the App (e.g., personal notes, custom vocabulary marks). However, you grant us a non-exclusive, worldwide, royalty-free license to use this content for providing services (e.g., synchronizing to your account, optimizing personalized review plans);
  • The App may contain third-party trademarks (e.g., Google, Apple) which are the property of their respective owners. We use these trademarks only for indicating login methods and do not claim ownership.

7. Disclaimer of Warranties

  • The App is provided on an "as is" basis. We do not warrant that the App will be error-free, uninterrupted, or suitable for all your learning needs;
  • The AI features of the App are for English learning assistance only. The content generated by AI (e.g., grammar explanations, dialogue suggestions) is for reference only and does not constitute professional English teaching or legal/medical advice;
  • We are not liable for service disruptions or data loss caused by:
    • Force majeure (e.g., natural disasters, internet outages);
    • Third-party issues (e.g., Google/Apple login service failures, Apple payment system errors);
    • Your device problems (e.g., battery failure, system crashes) or improper use of the App.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, or consequential damages (e.g., lost profits, lost learning opportunities) arising from your use or inability to use the App;
  • Our total liability for any claims related to these Terms shall not exceed the total amount you paid for subscriptions in the 12 months prior to the claim.

9. Updates to These Terms

  • We may update these Terms due to changes in laws, App function adjustments, or service optimization. The updated Terms will be posted in the App's "Settings > Terms of Service" and marked with a new effective date;
  • For material updates (e.g., changes to subscription rules, expansion of data collection scope), we will notify you via in-app pop-ups and your registered email at least 7 days in advance. Your continued use of the App after the update takes effect constitutes acceptance of the updated Terms. If you do not accept the update, you must stop using the App and cancel your account.

10. Dispute Resolution & Applicable Law

  • These Terms shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China (excluding conflict of laws principles);
  • Any disputes arising from these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with HKIAC's arbitration rules in effect at the time. The arbitration award shall be final and binding on both parties.
